The basis on which you may use DealProspect and the information it provides.

1. About these terms

By using dealprospect.com you agree to these Terms of Use. If you do not agree, please do not use the site. Our Privacy Policy explains how we handle your information and forms part of these terms.

2. What DealProspect is

DealProspect is an information and matching platform. It brings together publicly available information about businesses for sale in New Zealand and Australia, buyers seeking businesses, private-equity firms and their portfolios, lenders, past listings, and New Zealand insolvency notices, and it offers tools that match your criteria against that information.

We are not a business broker, agent, lender, investor or adviser. We are not a party to any transaction, we do not introduce or vouch for anyone, and we do not take a commission on any sale, investment or loan.

3. Not advice

Everything on DealProspect is general information only. It is not financial, investment, credit, legal, accounting or tax advice, is not a valuation, and is not an offer of finance or investment. You should carry out your own due diligence and seek independent professional advice before making any decision.

4. Accuracy of information

Listings and market data are sourced from third parties and publicly available sources. Prices, revenue and earnings are as the seller or broker stated them — asking figures, not sale prices — and where we show an estimate or an indicative figure it is marked as such. While we make reasonable efforts, we do not warrant that any information is accurate, complete, current or available; listings may change or be withdrawn without notice, and past listings in the archive reflect what was advertised at the time, not what happened afterwards.

5. Matching

Matches produced by the find-a-business, find-equity and find-debt tools, and the buyer-to-listing matches on your profile, are AI-assisted and indicative only. They are a starting point for your own research — not a recommendation, an introduction, a valuation, an offer, or any assurance that a business, investor or lender is suitable for you or interested in you. We do not verify the parties shown.

6. Your account

You need an account for some features. You agree to give accurate information, to keep your password confidential, and to be responsible for what is done under your account. Accounts are for genuine acquisition, investment or financing research by you or your organisation. We may suspend or close an account that breaches these terms or misuses the service.

7. What you give us

You keep ownership of the information you enter — profiles, criteria, deal descriptions and messages. You give us the limited right to store, process and display it in order to provide the service to you (including preparing matches and sending alerts you set up). Only enter information you are entitled to share.

8. Acceptable use

You agree to use the site lawfully and not to scrape, bulk-copy, resell or redistribute its data; not to probe, disrupt or attempt to bypass its security or limits; and not to use it to identify, contact or harass any person named on it otherwise than for legitimate business purposes.

9. Intellectual property

The DealProspect name, the site design and the compilation of information are owned by us or our licensors. Listing text, photographs and other content belong to the brokers, sellers, firms and publishers who published them; we show them for information, and past-listing pages in the archive are shown as they appeared at the time. You may view and use the site for your own research but may not reproduce or redistribute its content without permission.

10. Corrections and removal

If you are a broker, business, firm or individual named on DealProspect and something is wrong, out of date, or you would like it removed, tell us. We will review it promptly and correct or remove it where appropriate; where information comes from a public record, we may note the correction alongside it rather than remove the record.

11. Third-party sites

The site links to external websites we do not control — brokers' and firms' own pages, and public web archives for past listings. We are not responsible for the content, accuracy or availability of those sites.

12. Availability and changes

The site is provided as is. We may change, suspend or withdraw features at any time, and we may update these terms from time to time; continued use after a change means you accept the updated terms.

13. Liability

To the maximum extent permitted by law, we are not liable for any loss arising from your use of, or reliance on, the site, its information or its matches. Nothing in these terms limits any rights you may have under the Fair Trading Act 1986 or the Consumer Guarantees Act 1993 that cannot legally be excluded.

14. Governing law

These terms are governed by the laws of New Zealand, and you submit to the non-exclusive jurisdiction of the New Zealand courts.
